Terms & Conditions

The rules for using Countr and the services provided by Countr Technologies Pvt. Ltd.

These Terms & Conditions govern your use of Countr, including the website, mobile application, APIs and related services made available by Countr Technologies Pvt. Ltd. By creating an account, accessing or using the service, you agree to these Terms.

1. Acceptance and eligibility

By accessing or using Countr, you confirm that you have read and understood these Terms and agree to be bound by them. If you are using Countr on behalf of a business, you represent that you are authorised to accept these Terms for that business.

You must have the legal capacity required by applicable law to enter into these Terms. If you do not agree with these Terms, do not use the service.

2. What Countr provides

Countr is a shop-management platform intended to help businesses organise activities such as Khata, sales, inventory, customers and reports. Depending on the version of the product, Countr may provide voice and manual methods for creating or managing information.

Countr is a software service. Unless expressly agreed in writing, it is not a bank, payment intermediary, accounting firm, tax adviser, legal adviser, lender, insurer or financial adviser.

Features may change over time. We may add, modify, suspend or discontinue features as the product develops, subject to applicable law and any commitments that apply to paid services.

3. Accounts, authentication and authorised users

  • You are responsible for providing accurate and reasonably current information when creating or managing an account.
  • You are responsible for keeping your login credentials, device and account access secure.
  • Do not share passwords, OTPs, authentication codes, access tokens or other credentials with unauthorised persons.
  • You are responsible for activity performed through your account unless you promptly report unauthorised access.
  • If you use Countr for a business, you are responsible for ensuring that employees, partners or other users have appropriate authority to access the relevant shop information.
  • You must promptly notify Countr if you reasonably suspect unauthorised access or a security compromise.

Countr may use authentication, security checks and other controls to protect accounts. We may refuse, restrict or suspend access where reasonably necessary for security, fraud prevention, legal compliance or enforcement of these Terms.

4. Your shop data and your responsibilities

You retain responsibility for the business information you enter into Countr, including product information, sales, Khata records, customer information and other shop data.

You grant Countr the limited rights necessary to host, store, process, transmit, display and otherwise handle that information to provide the service, maintain security, troubleshoot problems, create backups and perform functions you request.

You must have the necessary authority and lawful basis to enter or process information about customers, employees, suppliers or other individuals through the service. You are responsible for ensuring that information you enter is accurate and that your use of it through Countr is lawful.

You should maintain appropriate independent records for important financial, tax, accounting or legal purposes. Countr should not be treated as your only recordkeeping system unless you have independently determined that it meets your requirements.

5. Voice and AI-assisted features

Countr may allow you to use natural-language voice commands or other AI-assisted features to perform supported shop actions. Voice recognition and AI-generated results can be affected by language, pronunciation, background noise, device quality, connectivity, software and supporting services.

You are responsible for reviewing important actions and correcting inaccurate entries. Do not rely on a voice or AI-generated result alone for a high-value, tax-sensitive, legally significant or otherwise important transaction without checking the resulting record.

Where a third-party speech, AI or machine-learning service is used, processing may also be governed by that provider's terms and privacy policy. The actual providers and data flows used by Countr are described or documented through the applicable Privacy Policy and production configuration.

6. Plans, subscriptions, payments, taxes and refunds

If Countr offers paid plans, subscriptions, transaction charges or other fees, the applicable price, billing period, taxes, renewal terms, payment method and cancellation terms will be shown at or before purchase or in the applicable plan documentation.

Unless required by applicable law or expressly stated otherwise, fees paid for a billing period are non-refundable after the applicable service period has begun. A separate refund or cancellation policy may provide additional rights.

Where a subscription renews automatically, the renewal frequency and applicable amount will be disclosed before purchase. You may cancel future renewals using the available account or support mechanism; cancellation generally does not automatically reverse charges already incurred for a completed billing period unless applicable law or the applicable refund policy provides otherwise.

Taxes, including GST where applicable, may be added to displayed or invoiced amounts as required by law.

Payments may be processed by third-party payment providers. Their payment terms and privacy practices may also apply. Countr does not require you to provide card authentication credentials such as a CVV to Countr directly.

7. Acceptable use and prohibited conduct

You must use Countr lawfully, responsibly and only for authorised business purposes. You must not:

  • Use the service to commit fraud, deceive customers, impersonate another person or violate applicable law.
  • Attempt to gain unauthorised access to accounts, systems, APIs or data.
  • Probe, scan, reverse engineer or interfere with the security of the service except where expressly permitted by applicable law or written authorisation.
  • Upload malware, malicious code or content intended to disrupt, damage or compromise the service.
  • Use automated methods to abuse the service, bypass usage limits or create unreasonable load.
  • Use the service to process information you are not authorised to handle.
  • Use Countr to infringe another person's intellectual-property, privacy or other legal rights.
  • Attempt to circumvent subscription, authentication, access-control or usage restrictions.
  • Use Countr to build, train or operate a competing service by systematically extracting or copying non-public Countr functionality or data, except where permitted by applicable law or written agreement.

8. Intellectual property

Countr, its software, interface, branding, logos, visual design, documentation and original content are owned by or licensed to Countr Technologies Pvt. Ltd. and are protected by applicable intellectual-property laws.

These Terms give you a limited, non-exclusive, non-transferable and revocable right to use the service for its intended purpose. They do not transfer ownership of Countr's software, trademarks or other intellectual property to you.

You retain ownership of content and shop information that you are entitled to own. You grant Countr the rights necessary to operate, secure, maintain and improve the service as described in these Terms and the Privacy Policy.

9. Feedback and suggestions

If you voluntarily provide suggestions, ideas, feature requests or other feedback about Countr, you permit Countr to use that feedback without restriction or compensation, provided that Countr does not use your confidential business information as public marketing material without an appropriate basis or permission.

10. Third-party services and app stores

Countr may integrate with or depend on third-party services such as hosting, payment processing, notifications, analytics, authentication, speech recognition, AI services, app stores or other infrastructure. Third-party services may have their own terms, fees, availability and privacy practices.

Countr is not responsible for independent failures, changes or policies of third-party services outside Countr's reasonable control, although we may work to provide reasonable alternatives or support where appropriate.

If you download Countr through an app store, the app store's own terms and rules may also apply. These Terms govern your use of Countr to the extent applicable.

11. Availability, synchronisation and backups

We aim to keep Countr reliable, but we do not promise uninterrupted or error-free availability. Maintenance, upgrades, network failures, device issues, infrastructure incidents, third-party outages and events outside our reasonable control may temporarily affect the service.

Some Countr functionality may be designed to work offline or with limited connectivity. Offline capability does not guarantee that every feature, integration or synchronisation process will operate without an internet connection.

We use reasonable backup and recovery measures where appropriate, but backups are not a guarantee that every item of data can always be recovered. You remain responsible for maintaining independent records of information that is critical to your business.

12. Disclaimers and business decisions

Countr is a software tool for shop management. Unless expressly stated in a written agreement, Countr does not provide accounting, tax, legal, investment, lending, insurance or other professional advice.

Information, calculations, reports, recommendations and voice- or AI-generated actions should be reviewed by you before being relied upon for important business decisions.

To the maximum extent permitted by applicable law, the service is provided on an “as available” and “as is” basis, without warranties that are not expressly stated in these Terms.

13. Limitation of liability

To the maximum extent permitted by applicable law, Countr Technologies Pvt. Ltd. will not be liable for indirect, incidental, special, consequential or punitive losses arising from use of the service, including loss of profits, business interruption or loss of anticipated savings.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

Any specific liability cap for a paid service should be stated in the applicable commercial agreement or plan terms after legal review. Any limitation of liability should also be reviewed for enforceability under Indian law.

14. Suspension, termination and account closure

You may stop using Countr at any time and may request account deletion through the available mechanism.

We may suspend or terminate access where reasonably necessary to protect the service, comply with law, address security or abuse, enforce these Terms, or where a paid service is cancelled according to its applicable terms.

Where reasonably possible, we will provide notice before suspension or termination unless immediate action is necessary for security, legal or other urgent reasons.

After termination, data may be retained, deleted or anonymised according to the Privacy Policy, applicable retention requirements and contractual commitments.

15. Governing law and dispute resolution

These Terms are governed by the laws of India, subject to applicable mandatory legal protections.

We encourage you to contact Countr first so that we can try to resolve a dispute informally. Subject to applicable law, unresolved disputes will be subject to the courts having appropriate jurisdiction in India and, where legally appropriate, the jurisdiction specified in an applicable commercial agreement.

Nothing in this section prevents a party from seeking urgent or legally available relief from a competent court or prevents rights that cannot lawfully be waived.

16. Indemnity

To the extent permitted by applicable law, you agree to be responsible for third-party claims, losses and reasonable costs arising from your unlawful use of Countr, your material violation of these Terms, or your infringement of another person's rights, except to the extent caused by Countr itself.

17. Privacy and data protection

Your use of Countr is also governed by our Privacy Policy, which explains how personal data is collected, used, shared, retained and protected.

The Privacy Policy forms part of the overall terms governing the service. If there is a direct conflict concerning the processing of personal data, the Privacy Policy will govern that specific privacy matter to the extent required by applicable law.

18. Consumer protection and mandatory rights

Nothing in these Terms is intended to exclude or restrict any right, remedy, warranty or protection that cannot lawfully be excluded or restricted under applicable Indian law.

Where mandatory consumer-protection, e-commerce, advertising or other requirements apply to a particular Countr offering or transaction, Countr will comply with those requirements to the extent applicable. Countr is primarily a business software service, and the legal status of a particular user or transaction may depend on the circumstances and applicable law.

19. Changes to these Terms

We may update these Terms when the service, business model, security practices or legal requirements change. Updated Terms will be posted on this page with a revised effective date and version number.

For material changes, we will provide additional notice where required. Where applicable law requires express acceptance of an updated term, we will obtain that acceptance rather than relying solely on continued use.

Using Countr after an updated version becomes effective constitutes acceptance of the updated Terms only to the extent permitted by applicable law.

20. Severability and waiver

If a provision of these Terms is found unenforceable, the remaining provisions will continue to the extent permitted by law. A failure to enforce a provision at one time does not necessarily waive the right to enforce it later.

21. Force majeure

To the extent permitted by applicable law, Countr will not be responsible for delay or failure caused by events beyond its reasonable control, including major network or infrastructure failures, natural disasters, war, terrorism, civil unrest, government action, widespread cyber incidents, labour disruptions or failures of third-party infrastructure.
